Assistance and advice with respect to pre-closing and post-closing structuring of transactions, financing, documentation, and legal due diligence. As a result of my experience in the industry and the relationships developed with insurance companies, brokers, producers, bankers and other lenders, consultants and consolidators, I am able to consider the proposed business terms in the context of industry standards and suggest adjustments where appropriate.

Non-Piracy (Non-Competition and Non-Solicitation)

The protection of the book of business from a former producer or vendor is critical to brokers.  I am often involved with the review of existing agreements to provide interpretive and strategic assistance.  This then becomes a critical issue as a result of recent court decisions.  In the course of handling sale transactions, mergers, employee or producer agreements, suitable provisions are inserted to protect the owner of the business from an attack.

Perpetuation

Since the wealth of brokers is often concentrated in their business, it is critical for brokers to plan for the eventual transfer of their brokerage. I assist broker clients with the structuring and preparation for either an internal or external transfer of ownership of brokerages.
